Certification Program Agreement

    This Certification Program Agreement ("Agreement") is entered into between Deluxe Smart Film Corp ("Company," "we," "our," or "us") and the individual or business enrolling in a certification program ("Participant," "Student," "Applicant," or "Certified Installer," if certification is awarded).

    By registering for, purchasing, attending, or participating in any certification program offered by Deluxe Smart Film Corp, the Participant agrees to be legally bound by this Agreement.

    This Agreement supplements and incorporates by reference the Company's Online Course Terms & Conditions, Installer Agreement, Digital Product License Agreement, Terms of Sale, Website Terms & Conditions, Privacy Policy, Refund & Cancellation Policy, Warranty Policy, Trademark Notice, Copyright Notice, Acceptable Use Policy, Limitation of Liability Policy, Disclaimer, and all other applicable Company policies.

    1. Definitions

    Certification means written recognition by Deluxe Smart Film Corp that the Participant has successfully satisfied the Company's certification requirements at the time certification is issued.

    Certified Installer means a Participant whose certification remains active and has not expired, been suspended, or revoked.

    Program means any installer certification, advanced installer training, dealer certification, technical certification, or professional training offered by the Company.

    2. Purpose of Certification

    The purpose of the Certification Program is to provide professional training regarding the installation and handling of Company products. Certification demonstrates that, at the time certification is granted, the Participant successfully completed the Company's published certification requirements. Certification is not a professional license, government certification, trade license, or guarantee of competence.

    3. Eligibility Requirements

    Applicants must: Be at least eighteen (18) years old. Provide accurate application information. Complete required training. Pay all applicable fees. Comply with Company policies. Meet any published prerequisites. The Company may request additional documentation before approving enrollment.

    4. Application & Enrollment

    Enrollment is not guaranteed. The Company reserves the right to: Accept or reject any application. Require interviews. Verify business information. Verify identification. Verify references. Request additional documentation. Acceptance into the Program does not guarantee certification.

    5. Certification Requirements

    To become certified, Participants may be required to: Complete all required training modules. Attend required live sessions. Pass written examinations. Pass practical installation assessments. Demonstrate safe work practices. Follow Company installation procedures. Meet minimum attendance requirements. Complete required assignments. The Company may modify certification requirements at any time for future applicants.

    6. Examination & Skills Assessment

    The Company may administer: Written examinations. Practical installation tests. Oral evaluations. Video demonstrations. Technical interviews. Performance assessments. Passing scores are established solely by the Company. Examination materials remain confidential.

    7. Certification Decision

    Certification is awarded solely at the Company's discretion after determining that all requirements have been satisfactorily completed. The Company is not obligated to issue certification solely because a Participant attended training or completed coursework.

    8. Term of Certification

    Unless otherwise stated in writing, certification remains valid for one (1) year from the date of issuance. Certification expires automatically unless renewed in accordance with Company requirements.

    9. Renewal Requirements

    Renewal may require: Refresher training. Continuing education. Updated examinations. Proof of business activity. Compliance reviews. Payment of renewal fees. Updated insurance documentation. The Company may modify renewal requirements prospectively.

    10. Continuing Education

    Certified Installers may be required to complete continuing education to remain current with: New products. Installation techniques. Safety standards. Industry best practices. Updated Company procedures. Failure to complete required continuing education may result in suspension or expiration of certification.

    11. Independent Contractor Status

    Certification does not create: Employment. Agency. Partnership. Joint venture. Franchise. Representative status. Certified Installers remain independent businesses responsible for their own operations.

    12. No Employment Relationship

    Nothing in this Agreement shall be interpreted as creating an employment relationship with Deluxe Smart Film Corp. Certified Installers are solely responsible for: Taxes. Payroll. Insurance. Licensing. Employees. Permits. Business operations.

    13. No Franchise or Business Opportunity

    Participation in the Certification Program does not constitute: A franchise. A dealership. A distributorship. A guaranteed business opportunity. A promise of future income. A promise of customer referrals. The Company makes no earnings claims or income guarantees.

    14. No Exclusive Territory

    Certification does not provide exclusive geographic rights. The Company may certify multiple installers in the same city, county, state, country, or market.

    15. Use of Certification Credentials

    While certification remains active, Certified Installers may state that they are: "Certified by Deluxe Smart Film Corp." Installers may not state or imply: Company employee. Company office. Company branch. Exclusive installer. Manufacturer. Company representative. Owner of Company trademarks.

    16. Use of Company Intellectual Property

    During the period of active certification, the Company grants a limited, revocable, non-exclusive, non-transferable license to use approved Company logos, certification badges, and marketing materials solely in accordance with the Company's Brand Guidelines. Upon expiration, suspension, or revocation of certification, all rights to use Company intellectual property immediately terminate.

    17. Marketing & Advertising Rules

    Certified Installers shall: Advertise truthfully. Accurately represent certification status. Avoid misleading statements. Avoid false product claims. Comply with all advertising laws. The Company may require removal of inaccurate or unauthorized marketing materials.

    18. Quality Standards

    Certified Installers shall: Follow Company installation procedures. Maintain professional workmanship. Follow published installation manuals. Use approved installation methods. Maintain clean job sites. Operate safely. Maintain professional customer service. Repeated quality issues may result in disciplinary action.

    19. Customer Service Standards

    Certified Installers agree to: Respond professionally to customers. Honor their own contractual obligations. Handle complaints promptly. Respect customer property. Maintain ethical business practices. The Company is not responsible for disputes between Certified Installers and their customers.

    20. Product Purchasing Requirements

    Certification alone does not guarantee wholesale pricing, distributor status, or purchasing privileges. Separate reseller, dealer, distributor, or wholesale agreements may be required. The Company reserves the right to establish minimum order quantities, pricing tiers, credit requirements, and purchasing policies.

    21. Insurance & Compliance

    Where applicable, Certified Installers shall maintain appropriate business insurance, including general liability insurance and any insurance required by applicable law. Certified Installers shall comply with all applicable Federal laws, State laws, Local ordinances, Building codes, Electrical codes, Occupational safety requirements, and Licensing requirements.

    23. Confidential Information

    Participants acknowledge that the Program may include confidential information, including: Installation techniques. Business methods. Pricing structures. Supplier information. Customer acquisition strategies. Training materials. Internal procedures. Such information shall remain confidential.

    24. Non-Disclosure & Non-Disparagement

    Participants agree not to disclose, reproduce, distribute, or exploit confidential information obtained through the Program except as expressly authorized in writing. Participants also agree not to knowingly make false or malicious statements intended to damage the reputation of Deluxe Smart Film Corp, its products, employees, or Certification Program.

    26. Reporting Obligations

    Certified Installers shall promptly notify the Company of: Changes in business ownership. Changes in business name. Bankruptcy filings. Criminal convictions materially affecting business operations. Loss of required licenses. Loss of insurance coverage. Significant safety incidents involving Company products.

    27. Audits & Quality Reviews

    The Company reserves the right to conduct reasonable quality assurance reviews, including: Review of completed installations. Customer satisfaction surveys. Documentation reviews. Requests for photographs. Requests for corrective action. Failure to cooperate may result in suspension or revocation.

    28. Suspension

    Certification may be suspended for: Policy violations. Poor workmanship. Misrepresentation. Failure to maintain insurance. Failure to complete continuing education. Misuse of trademarks. Ethical misconduct. Non-payment of required fees.

    29. Revocation of Certification

    The Company may permanently revoke certification for: Fraud. Intentional deception. Counterfeit products. Unauthorized product modifications. Repeated quality failures. Serious safety violations. Unauthorized disclosure of confidential information. Misuse of Company intellectual property.

    30. Effect of Termination

    Upon expiration, suspension, or revocation, the Participant shall immediately: Stop representing themselves as certified. Remove Company logos and certification badges. Remove certification claims from websites and social media. Return or destroy confidential materials if requested. Cease using Company intellectual property except as otherwise authorized.

    31. Limitation of Liability: To the fullest extent permitted by law, Deluxe Smart Film Corp shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from participation in the Certification Program. The Company's maximum liability shall not exceed the amount paid by the Participant for the Certification Program giving rise to the claim.

    32. Indemnification: The Participant agrees to indemnify, defend, and hold harmless Deluxe Smart Film® Corp, its owners, officers, employees, contractors, affiliates, successors, and agents from claims, damages, liabilities, costs, and reasonable attorneys' fees arising from: The Participant's installation work. Breach of this Agreement. Violations of law. Customer disputes. Negligence or misconduct. Misrepresentation of certification status.

    33. Fraud Prevention: The Company reserves the right to deny, suspend, revoke, or refuse certification where fraud, forged documents, identity theft, payment fraud, falsified qualifications, or other deceptive conduct is suspected.

    34. Reservation of Rights: Deluxe Smart Film Corp reserves all rights not expressly granted under this Agreement, including the right to modify Program standards, curriculum, certification requirements, and quality assurance procedures on a prospective basis.

    35. Force Majeure: The Company shall not be liable for delays or interruptions caused by events beyond its reasonable control, including natural disasters, pandemics, cyber incidents, labor shortages, governmental actions, supply chain disruptions, or other force majeure events.

    36. Governing Law & Dispute Resolution: This Agreement shall be governed by the laws of the State of Florida. Any dispute shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. Before initiating litigation, the Parties agree to make a good-faith effort to resolve disputes through informal negotiations.

    38. Severability & No Waiver: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by the Company to enforce any provision shall not constitute a waiver.

    40. Assignment & Survival: Participants may not assign their rights or obligations under this Agreement without the Company's prior written consent. The provisions relating to confidentiality, non-disclosure, intellectual property, limitation of liability, indemnification, dispute resolution, governing law, payment obligations, and any obligations intended by their nature to survive shall remain effective after expiration or termination of certification.

    42. Changes to this Agreement: Deluxe Smart Film Corp reserves the right to modify this Agreement prospectively. Updated versions become effective upon publication unless otherwise required by law.

    45. Entire Agreement: This Certification Program Agreement, together with all documents incorporated by reference, constitutes the complete and exclusive agreement between the Participant and Deluxe Smart Film Corp regarding participation in the Company's Certification Program. It supersedes all prior oral or written discussions, representations, proposals, and agreements relating to the Program. No amendment or waiver shall be effective unless made in writing by an authorized representative of Deluxe Smart Film Corp or otherwise expressly permitted under this Agreement.
