Online Course Terms & Conditions

These Online Course Terms & Conditions ("Course Terms") govern access to and use of all online educational content, digital training materials, certification programs, webinars, downloadable resources, videos, documents, quizzes, and related educational services (collectively, the "Courses") provided by Deluxe Smart Film Corp ("Company," "we," "our," or "us").
By purchasing, enrolling in, accessing, downloading, or participating in any Course, the participant ("Student," "Participant," or "Customer") agrees to be legally bound by these Course Terms.
These Course Terms are incorporated into and should be read together with the Company's Terms of Sale, Privacy Policy, Website Terms & Conditions, Refund & Cancellation Policy, Acceptable Use Policy, Copyright Notice, Trademark Notice, Digital Product License Agreement, Certification Program Agreement, and all other applicable Company policies.
1. Definitions
Course means any online educational program, digital product, webinar, certification course, downloadable content, video lesson, coaching session, or related educational material offered by the Company.
Student means the individual purchasing or accessing the Course.
Content includes videos, PDFs, manuals, presentations, templates, quizzes, worksheets, images, audio recordings, software, logos, trademarks, and all educational materials provided by the Company.
2. Eligibility
Students must: Be at least eighteen (18) years of age or the age of majority in their jurisdiction. Have the legal authority to enter into a binding contract. Provide accurate registration information. Comply with all applicable laws. The Company reserves the right to refuse enrollment at its sole discretion.
3. Course Enrollment
Enrollment is complete only after: Payment is successfully processed. The Company accepts the registration. The Student receives access credentials or confirmation. Enrollment is personal and non-transferable.
4. Course Access
Unless otherwise stated: Access is granted only to the registered Student. Login credentials may not be shared. Simultaneous logins may be restricted. Access may be suspended for suspected misuse. The Company reserves the right to verify the identity of enrolled Students.
5. Digital License
Upon purchase, the Student receives a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access Course materials for personal educational purposes only. No ownership of Course materials is transferred.
6. Intellectual Property
All Course materials are the exclusive intellectual property of Deluxe Smart Film Corp and are protected by copyright, trademark, trade secret, and other applicable laws.
Students may not: Copy, Record, Reproduce, Publish, Distribute, Sell, License, Modify, Reverse engineer, Translate, Upload, Mirror, Share, or Create derivative works without the Company's prior written consent.
7. Acceptable Use
Students agree to use the Courses only for lawful educational purposes. Students shall not: Share login credentials. Allow others to access their account. Circumvent security measures. Attempt unauthorized downloads. Use automated scraping tools. Remove copyright notices. Copy videos. Redistribute manuals. Upload Course content to social media or file-sharing websites.
8. Student Responsibilities
Students are responsible for: Maintaining account security. Providing accurate information. Having compatible devices and internet access. Completing training safely. Following all installation and safety instructions. Complying with applicable laws. Maintaining confidentiality of proprietary information.
9. Certification Disclaimer
Completion of a Course or receipt of a certificate does not: Create employment, partnership, or agency relationship. Authorize use of the Company's trademarks. Guarantee certification unless all published requirements are met. Guarantee installer, dealership, or reseller approval. Separate written agreements may be required for dealer, installer, or certification programs.
10. Training Results Disclaimer
The Company makes no guarantee regarding: Income, Business success, Employment, Profitability, Sales, Customer acquisition, Installation proficiency, Licensing approval, or Business growth. Results depend on numerous factors outside the Company's control, including individual effort, experience, market conditions, and business practices.
11. Equipment & Technical Requirements
Students are responsible for obtaining and maintaining: Reliable internet access, Compatible devices, Updated web browsers, Required software, and Audio equipment, if applicable. The Company is not responsible for technical issues caused by the Student's equipment or internet service.
12. Lifetime Access
If a Course is advertised as including "Lifetime Access," such access means access for the commercial life of the Course while it remains supported by the Company. The Company may retire, replace, or discontinue a Course due to legal, technical, or business reasons.
13. Updates & Course Modifications
The Company may: Update Course materials, Correct errors, Improve lessons, Remove outdated information, Add new content, and Modify the Course curriculum. Such updates do not entitle Students to refunds.
14. Payments
All Course purchases are subject to the Company's Terms of Sale. Unless otherwise stated: Payment is due in full before access is granted. Taxes may apply. Payment processing is handled by third-party payment processors.
15. Refund Policy
Refund eligibility is governed exclusively by the Company's Refund & Cancellation Policy. Digital products that have been accessed, downloaded, streamed, or substantially consumed may not be eligible for refunds unless required by applicable law.
16. Account Security
Students are responsible for safeguarding: Passwords, Login credentials, and Verification codes. Students must immediately notify the Company of suspected unauthorized access.
17. Downloadable Materials
Downloadable resources are licensed solely to the enrolled Student. Students may not upload Company materials to: Google Drive for public sharing, Dropbox public folders, File-sharing services, Torrent websites, Social media, Membership websites, or Competing educational platforms.
18. Prohibited Conduct
Students shall not: Harass instructors, Impersonate others, Commit fraud, Circumvent payment systems, Share pirated materials, Violate intellectual property rights, Upload malicious software, Interfere with platform functionality, or Attempt unauthorized access to Company systems.
19. Community Standards
Where Courses include discussion groups, communities, or forums, Students agree to: Be respectful, Avoid abusive language, Avoid discrimination, Avoid harassment, Refrain from posting unlawful content, and Avoid spam and self-promotion unless expressly permitted. The Company may moderate or remove content at its discretion.
20. Live Sessions
Live coaching sessions, webinars, Q&A events, or workshops may be: Recorded, Rescheduled, Canceled, or Limited in attendance. The Company is not responsible for missed sessions caused by the Student.
21. Recorded Sessions
Recorded sessions remain the exclusive property of Deluxe Smart Film Corp. Students may not record, rebroadcast, download, or redistribute live sessions without written authorization.
22. Third-Party Platforms
Courses may be delivered through third-party platforms. The Company is not responsible for outages, policy changes, service interruptions, or technical issues affecting third-party providers.
23. Student-Generated Content
If Students submit assignments, photographs, videos, comments, testimonials, or project images, they grant the Company a worldwide, perpetual, royalty-free, non-exclusive license to use, reproduce, display, publish, modify, and distribute such content for educational, marketing, or business purposes, unless otherwise agreed in writing. Students represent that they own or have permission to submit such content.
24. Testimonials & Success Stories
If a Student voluntarily provides a testimonial, review, case study, or success story, the Company may use it for advertising and promotional purposes unless the Student requests otherwise in writing. The Company may edit testimonials for length or clarity without materially changing their meaning.
25. Confidential Information
Students acknowledge that certain Course materials may include proprietary business methods, pricing strategies, installation techniques, operational processes, or confidential information. Students agree not to disclose or misuse such information for any purpose other than their own lawful education.
26. Non-Competition & Non-Resale
Nothing in these Course Terms prohibits a Student from operating a lawful business. However, Students may not: Resell the Course, License the Course, White-label the Course, Repackage Company materials, Market Company materials as their own, or Train others using Company materials without written authorization.
27. Monitoring & Enforcement
The Company may monitor Course access, login activity, downloads, IP addresses, and usage patterns to detect unauthorized sharing, piracy, or misuse. The Company reserves the right to investigate suspected violations and take appropriate action.
28. Suspension & Termination
The Company may suspend or terminate Course access for: Unauthorized sharing, Copyright infringement, Fraud, Payment disputes, Abuse of instructors or staff, or Violation of these Course Terms. Termination does not entitle the Student to a refund unless required by law.
29–39. Legal & Administrative
- Limitation of Liability: To the fullest extent permitted by law, Deluxe Smart Film Corp shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from participation in the Courses. The Company's maximum liability shall not exceed the amount paid by the Student for the specific Course giving rise to the claim.
- Indemnification: The Student agrees to indemnify and hold harmless Deluxe Smart Film Corp, its owners, officers, employees, instructors, contractors, affiliates, successors, and agents from claims, damages, losses, liabilities, costs, and reasonable attorneys' fees arising from: The Student's breach of these Course Terms, Misuse of Course materials, Infringement of third-party rights, Violation of applicable laws, or Unauthorized sharing or distribution of Course content.
- Fraud Prevention: The Company reserves the right to suspend access, cancel enrollments, or pursue legal remedies in cases involving: Payment fraud, Chargeback abuse, Identity theft, Unauthorized account sharing, Credential theft, Piracy, or Falsified enrollment information.
- Reservation of Rights: Deluxe Smart Film® Corp reserves all rights not expressly granted in these Course Terms, including all intellectual property rights and all legal and equitable remedies available under applicable law.
- Force Majeure: The Company shall not be liable for delays, interruptions, or inability to provide Course access due to events beyond its reasonable control, including cyberattacks, internet outages, platform failures, natural disasters, pandemics, labor disputes, governmental actions, or other force majeure events.
- Governing Law: These Course Terms shall be governed by the laws of the State of Florida. Any dispute arising under these Course Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, unless applicable law requires otherwise.
- Severability: If any provision of these Course Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- No Waiver: Failure by the Company to enforce any provision of these Course Terms shall not constitute a waiver of that provision or any other provision.
- Assignment: Students may not assign or transfer their rights or obligations under these Course Terms without the Company's prior written consent. The Company may assign its rights or obligations to an affiliate, successor, or purchaser of substantially all of its assets.
- Survival: The provisions relating to intellectual property, confidentiality, licensing, limitation of liability, indemnification, governing law, dispute resolution, payment obligations, and any obligations intended by their nature to survive shall remain effective after Course completion or termination of access.
- Changes to These Terms: Deluxe Smart Film Corp reserves the right to modify these Course Terms at any time. Updated versions will become effective upon publication unless otherwise required by law.

Entire Agreement: These Online Course Terms & Conditions, together with all documents incorporated by reference, constitute the complete and exclusive agreement between the Student and Deluxe Smart Film Corp regarding participation in the Company's Courses and supersede all prior oral or written communications relating to the Courses. In the event of any conflict between these Course Terms and prior statements, these Course Terms shall control to the fullest extent permitted by applicable law.
